SimX Terms and Conditions
Software
(1) All software items FCA Helsinki
(2) Title only transfers upon full payment
(3) Software will be invoiced and licensed immediately upon order acknowledgement. This will be achieved by a time limited license code. On receipt of full payment this code will be superseded by a permanent license code.
(4) A web based transfer manager that can be accessed by the licensed user to move a license to another machine offers the only floating license mechanism available.
(5) Issued licenses will expire on a six month basis and be re-issued automatically indefinitely
(6) Product upgrades will be delivered as a downloadable link only
(7) All native CAD translators require a valid software license of their respective native CAD engine and CAD API. CAD API version must be supplied to SimX before ordering to ensure software compatibility. Maintenance on CAD translators will become void if SimX is not informed of any CAD API upgrades undertaken during the maintenance period
(8) A Personal Student License may not be used for commercial purposes
Personal Student Licenses are:
Only available to Registered Students enrolled on a training course and at an institution, both of which have been approved by SimX and Visual Components. Available initially for one year then renewable for subsequent years (on payment of an additional fee) as long as the student is still registered as such with the original institution.
A Personal Student License may be upgraded but does not qualify for support. Support will only be available through the institution as long as it has updated educational licenses.
Training
(9) Users will be required to provide their own computers - preferably Laptops for training classes.
(10) Training will be provided during normal office hours and in a consecutive manner unless specifically agreed beforehand.
(11) None attendance of trainees on any of the agreed training dates will still constitute attendance for payment purposes but none attendance of the trainer for any reason will require rescheduling of any outstanding training subject to mutually agreed dates. If the trainer cannot attend for any reason then the trainees will be notified as soon as reasonably possible.
(12) If training course dates are not agreed within 1 month of purchase SimX reserves the right to invoice for training in advance.
(13) Administrator access rights, access to the Internet and to the hard disk on all trainee machines will be required to conduct the course. If any network security features inhibit the installation of the software or any of the access rights are not available then any time taken to gain the necessary rights or permissions will either be deducted from the quoted course duration or charged at the rate of �70 per hour or part thereof.
(14) All course content and materials will remain the property of SimX with the trainee given rights to this material for personal use only.
Maintenance
(15) Maintained sites receive first line support
(16) Regular software updates are provided free-of charge to all maintained software packs Expenses
(17) Travel will be billed at �0.43/mile.
(18) Any project related travel expenses not specifically mentioned above will be subject to client approval.
Orders & Acknowledgements
(19) All orders and order acknowledgements will be processed electronically so please submit all orders by email. Failure to do so will slow down the acknowledgement process
(20) SimX understands and will exercise its statutory right to claim interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to agreed credit terms. By late payment legislation we mean "The Late Payment of Commercial Debts (Interest) Act 1998, as amended and supplemented by the Late Payment of Commercial Debts Regulations 2002"
